
MEMENTO for registered Representation Offices in the Republic of Moldova
As of January 1, 2024, the deadline for making amendments to the founding of registered representative offices in the Republic of Moldova, which imposes the obligation to transform these representation offices into branches expires.
In accordance with the provisions of the Law on modernisation of the Civil Code, by January 1, 2024, legal entities registered in the Republic of Moldova, as well as branches and representative offices of foreign legal entities, are obliged to comply with the following requirements:
a) to proceed with the adaptation of their founding documents and/or bylaws and regulations of branches and representative offices, in accordance with the amendments to Articles 240 and 241 of the Civil Code, by means of Law no.133/2018;
b) to request the registration of the necessary amendments, as stipulated in paragraph a), in the state register of legal entities or in another public register in which they are registered in accordance with the law.
No fees or charges are levied for registration of these amendments.
Although no explicit penalty is established for failure to fulfill these obligations within stipulated timeframe, attention is drawn to potential risks, such as obstacles or difficulties in dealings with financial institutions, possible challenges in dealing with commercial or partner entities, and the risk of undergoing additional verifications or inspections.
